The pilot agreement, in plain language.

These terms govern the design-partner pilot of Plenfi. They lean conservative — short liability cap, warranty disclaimer, acceptable-use rules around the AI safety guardrails. We will tighten the wording with counsel before general availability.

Acceptance

Using Plenfi means agreeing to these terms.

These Terms of Service form the agreement between Quick Shift Labs, Inc. (“Plenfi”, “we”, “us”) and the dealership or individual (“you”, “your”) accessing the marketing site at plenfi.com, the operator console at app.plenfi.com, or any related APIs (together, the “Service”).

By signing up, signing in, or otherwise using the Service you agree to these terms. If you are accepting on behalf of a dealership, you confirm you have authority to bind that dealership.

If a separate written pilot agreement, master services agreement, or order form is in place between Plenfi and your dealership, that document controls where it conflicts with these terms.

The Service

What Plenfi is — and isn’t — today.

Plenfi is a pilot-stage operator console for dealership BDCs. It composes brand-safe AI-mediated replies to consumer leads across email, SMS, voice, and web chat, routes those replies through a documented safety pipeline, and surfaces an inbox to your reps.

The Service is in design-partner pilot. Functionality, limits, and pricing may change as the product matures. Material changes affecting active dealerships will be notified ahead of time where practical.

Plenfi does not provide legal, financial, regulatory, or compliance advice. The Service does not approve credit, set pricing, sign contracts, or take any binding action on a dealership’s behalf.

Accounts

One operator, one account.

You must register with accurate information, keep your credentials secret, and notify Plenfi promptly at [email protected] if you suspect a credential or session has been compromised.

You are responsible for activity under your account, including the actions of any rep, vendor, or contractor you authorise to use it.

Plenfi may suspend or terminate accounts that materially breach these terms, that present an active security risk, or that fall outside the supported pilot use cases described in §6.

Customer data

Your dealership owns the data; Plenfi processes it for you.

Lead data, message content, appointment records, and other tenant-scoped data submitted to or generated through the Service is your data. You retain all rights, title, and interest in it.

You grant Plenfi a limited licence to host, process, transmit, and display that data only to the extent needed to provide the Service, run the AI safety pipeline, and meet your reasonable instructions.

Plenfi does not use your data to train third-party foundation models. The processing roles, retention windows, and DSAR mechanics are spelled out in the Privacy Policy.

You represent that you have all consents, notices, and lawful bases required for Plenfi to process the lead data you submit (including SMS opt-in, TCPA / CASL where applicable, and any state-level consumer-protection obligations).

Acceptable use

What you must not do with Plenfi.

Do not use the Service to send unsolicited messages outside the consent scope your leads agreed to, or to bypass STOP / unsubscribe signals.

Do not attempt to disable, weaken, or work around the AI safety guardrails (no APR quotes, no trade-in dollar quotes, brand deflection, fact-bounded replies, HTML sanitisation, opt-out propagation).

Do not introduce content that is unlawful, defamatory, infringing, deceptive, or harmful to recipients; do not impersonate Plenfi or any third party.

Do not attempt to access another dealership’s tenant, scrape data at unreasonable rates, probe the system for vulnerabilities outside an authorised disclosure channel, or interfere with other operators’ use of the Service.

Report security issues to [email protected] with enough detail to reproduce. Good-faith research within scope will not be treated as a breach of these terms.

AI-generated output

Drafts are guardrailed, not infallible.

AI-generated drafts are passed through a documented finalisation chain (strip ungrounded claims, escape user-controlled lead fields, HTML-sanitise, suppression-list check) before they leave the system. A guardrail miss is a bug we want to hear about.

Plenfi does not warrant that every AI output will be free of factual error, inappropriate phrasing, or omission. Your dealership remains responsible for reviewing material communications and for any commercially significant statement made under its brand.

Where your dealership uses Plenfi to send templated outreach, you remain the sender of record for regulatory purposes (TCPA / CASL / CAN-SPAM and equivalents).

Fees

Pilots are free; production pricing is bespoke.

During the pilot, the Service is provided free of charge to the participating dealership for the window agreed in the pilot scope. There are no recurring charges and no auto-renewal during the pilot.

Post-pilot pricing is per-engagement. Plenfi will provide a written quote before any paid term begins; nothing in these terms creates an obligation to pay absent that signed quote or order form.

Third-party pass-through costs (SMS messages, voice minutes, AI inference) may be quoted at cost or with a stated margin in the order form. Pricing for those costs is governed by the order, not by these terms.

Intellectual property

We keep ours, you keep yours.

Plenfi (and its licensors) retain all rights in the Service, including the software, prompts, evals, safety pipeline, brand, and supporting documentation.

You retain all rights in your dealership’s brand, content, and customer data. You also retain rights in any operator feedback you choose to share — Plenfi may freely use such feedback to improve the Service without restriction or compensation.

If you submit suggestions or feature requests, you grant Plenfi a perpetual, irrevocable, royalty-free licence to use them to improve the Service.

Third-party services

Plenfi sits on top of named subprocessors.

The Service uses third-party providers (Supabase, SendGrid, Twilio, OpenAI, Vercel, and others listed in the Privacy Policy). Your use of the Service is also subject to those providers’ terms to the extent they apply to the data flowing through their systems.

Plenfi does not control third-party outages, content policy changes, or pricing decisions. Where a subprocessor changes materially, Plenfi will update its subprocessor list and, where required, notify active dealerships.

Warranty disclaimer

Pilot Service is provided “as is”.

Except as expressly stated in a signed agreement, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

Plenfi does not warrant that the Service will be error-free, secure against all threats, or that AI-generated content will be free of mistakes.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the exclusions apply only to the extent permitted by law.

Liability cap

The number that matters when things go wrong.

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, or loss of goodwill, even if advised of the possibility.

Each party’s aggregate liability arising out of or relating to the Service and these terms is capped at the greater of (a) the fees you paid to Plenfi in the twelve (12) months preceding the event giving rise to the claim, or (b) US $1,000.

These limits do not apply to your indemnification obligations, your breach of acceptable use (§6) or intellectual-property rights (§9), or to either party’s liability for gross negligence, wilful misconduct, or fraud.

Indemnification

Who covers whom.

You will defend, indemnify, and hold harmless Plenfi and its officers, employees, and agents from third-party claims arising out of (a) your dealership’s lead data or messages, (b) your breach of these terms, or (c) your violation of applicable law (including TCPA, CASL, CAN-SPAM, GDPR, CCPA, or carrier rules).

Plenfi will defend, indemnify, and hold harmless you from third-party claims that your authorised use of the Service infringes a US patent, copyright, or trade secret of a third party, subject to the liability cap in §11.

Termination

How either side ends things.

You may stop using the Service at any time and request deletion of your data via [email protected].

Plenfi may suspend or terminate access for breach of these terms, for credible security risk, or upon thirty (30) days’ notice for convenience.

On termination, your right to use the Service ends. Plenfi will delete or return tenant data on request, subject to the retention windows described in the Privacy Policy and any backup-rotation lag.

Sections that by their nature should survive termination (intellectual property, warranty disclaimer, liability cap, indemnification, governing law) will survive.

Governing law

Forum and choice of law.

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Each party submits to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware for any dispute not otherwise required by law to be resolved elsewhere.

Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual-property rights in any competent jurisdiction.

Changes

If we update these terms.

Plenfi may update these terms from time to time. Material changes affecting active dealerships will be flagged at least thirty (30) days before they take effect, except where a shorter window is required by law.

If you continue to use the Service after a material update takes effect, you accept the updated terms. If you do not accept, stop using the Service and request deletion of your data as described in §13.
